D&E announced the execution of a definitive agreement in November 14, 2005, by its wholly-owned subsidiary, D&E Investments, Inc, along with EuroTel LLC, HunTel Systems, Inc. and Consolidated Companies, Inc., the shareholders of Pilicka sp. z o.o., to sell Pilicka to MNI S.A. for $15,750,000. The purchase price is subject to certain adjustments, including a working capital adjustment, and will increase $110,625 per month, beginning November 1, 2005, until the transaction closes, which can be no later than May 1, 2006. The sale is subject to certain regulatory approvals and other customary closing conditions. D&E estimates that it will record pre-tax income of approximately $6.0 million from its direct and indirect ownership in Pilicka when the transaction closes.
